the Redeployment Program

Due to the heavy demand for participation by immigrant investors, the USCIS is currently experiencing a backlog in the processing of EB-5 immigrant investors, as well as EB-5 visa backlogs for certain foreign nationals, resulting in a prolonged approval process for obtaining Permanent Residency under the EB-5 Program. In order to maintain EB-5 investor funds “at risk” for the entirety of the investors’ “Sustainment Period” as defined by the USCIS (essentially, the two-year period beginning on the date a Class B or Class C Member is granted conditional permanent resident status), those funds cannot be returned to investors if repaid to the NCE before the Sustainment Period ends for each investor. To address the need to keep funds at risk during this potential lengthy process, those funds must be “re-deployed” or re-invested into another at-risk investment. A seamless redeployment program has been executed by the Beachtown Project. Because of the large scale of the Beachtown Development and the ability to diversify the products (the residences being constructed), the Project is enjoying the benefit of adapting and building residential units most suited to fluctuating market conditions at any given time, using the re-invested EB-5 investors’ funding for ongoing construction of more lots to be developed for the Project. As the job creation requirement is met, management believes our redeployment program is consistent with USCIS’ policy of being properly at risk and used in a manner related to engagement in commerce (in other words, the exchange of goods or services) consistent with the scope of the Company’s ongoing business as a New Commercial Enterprise under the EB-5 Program.

The original development of the Project was projected to create 123 EB-5 Program-qualifying jobs. With the additional lots to be developed through the reinvestment of EB-5 capital, the Project’s job cushion grows even higher than previously anticipated, which provides even greater assurance that a sufficient number of EB-5 Program-qualifying jobs will be created for each Investor.

In addition to the initial 19-home project, 35 more homes will be included in the Redeployment Program which will be split into to phases. Phase I will consist of 15 homes and Phase II will consist of 20 homes.
